These Terms are entered into between you and LearnSphere Academy B.V., a company registered in the Netherlands.

2. Acceptance of Terms

By accessing, browsing, or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

These Terms apply to all users of our services, including students, visitors, and any other users of our platform.

3. Description of Services

LearnSphere Academy provides online educational services, including but not limited to:

• Certificates and credentials upon course completion

4. User Accounts and Registration

4.1 Account Creation

To access certain features of our services, you must create an account. You agree to:

• Maintain and update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorised use of your account

4.2 Age Requirements

You must be at least 16 years old to create an account and use our services. If you are between 16 and 18 years old, you confirm that you have parental or guardian consent to use our services.

4.3 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorised use of your account.

5. Course Enrolment and Access

5.1 Course Enrolment

When you enrol in a course, you enter into a contract with LearnSphere Academy. Course enrolment is subject to availability and our acceptance of your application.

5.2 Access Rights

Upon successful enrolment and payment, you receive a limited, non-exclusive, non-transferable licence to access course content for personal, non-commercial educational purposes.

5.3 Course Completion

Certificates are awarded upon successful completion of course requirements, including assignments, assessments, and participation as specified in the course description.

6. Payment Terms

6.1 Course Fees

Course fees are displayed in Euros (EUR) and include applicable VAT. Prices may change without notice, but changes will not affect courses already purchased.

6.2 Payment Methods

We accept major credit cards, bank transfers, and other payment methods as displayed during checkout. Payment is required before course access is granted.

6.3 Refund Policy

Under EU consumer protection laws, you have the right to cancel your purchase within 14 days of enrolment. However, if you begin accessing course content during this period, you waive your right to cancel unless the content is defective.

Refunds may be granted in the following circumstances:

• Technical issues preventing course access for more than 7 days
• Course cancellation by LearnSphere Academy
• Exceptional circumstances at our discretion

7. User Conduct and Responsibilities

You agree to use our services responsibly and in compliance with all applicable laws. You must not:

• Share, distribute, or resell course content without permission
• Use our services for any illegal or unauthorised purposes
• Attempt to gain unauthorised access to our systems or other users' accounts
• Upload or transmit malicious software or harmful content
• Harass, abuse, or harm other users or our staff
• Violate intellectual property rights
• Create multiple accounts to circumvent restrictions

7.2 Academic Integrity

You must maintain academic integrity in all course activities. This includes completing assessments honestly and not sharing answers or solutions with other students.

8. Intellectual Property Rights

8.1 Our Content

All course content, including videos, text, images, software, and other materials, is owned by LearnSphere Academy or our licensors and is protected by copyright and other intellectual property laws.

8.2 Limited Licence

We grant you a limited, personal, non-commercial licence to access and use course content solely for your educational purposes. This licence does not permit you to:

• Copy, modify, or distribute course content
• Use content for commercial purposes
• Remove copyright or proprietary notices
• Reverse engineer or attempt to extract source code

8.3 User Content

You retain ownership of content you create and submit, but grant us a licence to use, display, and distribute such content in connection with our services.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms.

10. Service Availability and Modifications

10.1 Service Availability

We strive to provide continuous access to our services but cannot guarantee uninterrupted availability. Services may be temporarily unavailable due to maintenance, updates, or technical issues.

10.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes that affect your access to purchased courses.

11. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims related to our services is limited to the amount you paid for the specific course or service
• We are not liable for indirect, incidental, consequential, or punitive damages
• We do not guarantee specific educational outcomes or career advancement
• We are not responsible for third-party content or services linked from our platform

Nothing in these Terms excludes or limits our liability for death, personal injury, fraud, or any other liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless LearnSphere Academy, its affiliates, and employees from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of third-party rights.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of fees already paid.

13.2 Termination by Us

We may suspend or terminate your access to our services if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. We will provide notice where reasonably practicable.

13.3 Effect of Termination

Upon termination, your right to access our services ceases immediately. Provisions that should survive termination (including payment obligations, intellectual property rights, and limitation of liability) will continue to apply.

14. Governing Law and Jurisdiction

These Terms are governed by Dutch law. Any disputes arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.

If you are a consumer residing in the EU, you may also bring proceedings in the courts of your country of residence.

15. Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us to resolve any disputes informally. We are committed to working with you to find a satisfactory resolution.

These Terms, together with our Privacy Policy and any course-specific terms, constitute the entire agreement between you and LearnSphere Academy regarding your use of our services.
